In Unearthed Arcana there is an original flaw called "Unreactive". it is a -6 to initiative and the penalty CAN go below 0. If someone has no Dex and hasn't taken Improved Initiative, then they would have +0 to their Init. and they could take this flaw and it would have no effect, giving them a free feat. The flat-footed aspect of this flaw is already an actual rule, until you have ACTED on the first round of combat, you are considered flat-footed. Unless you were in the surprise round (if any), of course.
An idea might be to do something with the person always being considered flanked, giving the attacker a +2 to attacks and a rogue could own them, because of their in ability to pay attention to their defenses... or something. just a thought.
